UORealms Terms Of Service Agreement

Welcome to UORealms, a service of UORealms, LLC ("UORealms"), a website located at https://uorealms.com (the "Site"). Please review the following terms that will govern your use of our Site and services ("Terms").

BY CLICKING THE "I ACCEPT" BUTTON DURING REGISTRATION, OR THROUGH YOUR CONTINUED USE OF THIS SITE, YOU AGREE TO COMPLY WITH ALL OF THESE TERMS. IF YOU DO NOT AGREE WITH ANY OF THE TERMS, DO NOT CONTINUE TO USE THIS SITE OR ANY MATERIALS CONTAINED IN IT.

1. Our Services

UORealms provides an Internet-based service that allows you to play multi-genre online, PC, and live-action games where worlds, places, characters, plots, and other items may be created by you, other members, UORealms, or other parties (collectively, "Games"). In addition to the Games, we provide bulletin boards, chat rooms, and other game and community related services (collectively, "Services").

2. Age Requirement

You must be at least thirteen (13) years of age to use the Site, Services, and Games. You represent, warrant, and covenant that you meet this age requirement.

While users aged 13 and older may register for our Services, we recommend that minors aged 13-18 seek parental or guardian consent before using our Site, Services, or Games. Our platform includes user-generated content, which may not be suitable for younger users. By using our Services, users and parents acknowledge that they may be exposed to content that is mature or inappropriate for minors.

Parents and guardians are encouraged to monitor their child’s activity on the platform. If you believe your child has registered for an account without your consent, or if you would like to request access to, modify, or delete your child's information, please contact us at support@uorealms.com.

3. Access

You must have access to the internet to use our Site, Services, and Games. It is your responsibility to select, obtain, and pay for any equipment (e.g., computer or modem) and services (e.g., phone line or DSL) necessary for such access. At times, games available through UORealms will require software for the ability to play or join our servers. It is your sole responsibility to purchase such software for access.

4. Registration

If you accept the Terms, UORealms will ask you to complete a registration form to establish your membership account. You must select a name by which to identify yourself to other members and to UORealms staff when using the Services (your "User ID"). You may not select a User ID that infringes on the rights of others or is vulgar, offensive, or otherwise inappropriate as determined by UORealms. UORealms reserves the right to delete any vulgar or otherwise offensive User ID or to require you to change it. You must also select a password and are responsible for ensuring that your registration data is accurate and updated. UORealms reserves the right to suspend or terminate your account if any breach of these representations occurs.

5. License

Subject to these Terms, UORealms grants you a personal, non-exclusive, non-transferable license to access the Site and use the Games and Services solely for your personal entertainment purposes.

6. Restrictions

You agree not to engage in the following prohibited actions:

• Reproduce, distribute, publicly display or perform, translate, modify, adapt, create derivative works from, deconstruct, reverse engineer, decompile, or disassemble the Games, Services, or any portion thereof, including any characters, graphics, associated software, or proprietary communication protocols.
• Permit any other person (including former members whose accounts have been terminated) to access the Site, Services, or Games using your account or through unauthorized means (e.g., server emulators).
• Upload, post, email, or otherwise transmit any material through the Site, Services, or Games that:
  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights;
  • Contains software viruses or malicious code designed to disrupt, damage, or limit the functionality of any software or hardware.
• Harm minors in any way.
• Impersonate another user or administrator, including a UORealms "Game Master," "Event Moderator," or "Event Coordinator," or misrepresent your affiliation with any person.
• Forge headers or manipulate identifiers to disguise the origin of any material transmitted through the Site, Services, or Games.
• Disrupt the normal flow of dialogue or act in a way that negatively affects other members' ability to participate in real-time exchanges.
• Interfere with or disrupt the Services or servers connected to the Site.
• Violate any applicable laws or regulations.
• "Stalk" or harass another user.
• Collect or store personal data about other users without their explicit consent.
• Reveal personal information about any member, including their administrative roles or game character names, without permission.
• Deceive or mislead UORealms administrators, including "Game Masters," "Event Moderators," or "Event Coordinators."
• Engage in activities prohibited under the UORealms Games Codes of Conduct (https://uorealms.com/realms/guides/conduct/).

7. Content

Participatory Content

UORealms provides opportunities for you to submit ideas, text, graphics, plots, characters, feedback, and other materials while participating in the Games, bulletin boards, chat rooms, and other activities on the Site or Services ("Participatory Content"). By submitting any Participatory Content, you represent that you own the rights or have the authority to post it, and it does not infringe on the rights of any third party. You grant UORealms a perpetual, irrevocable, non-exclusive, sub-licensable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, display, and perform any or all of your Participatory Content across all media now known or later developed. You, and not UORealms, are solely responsible for your Participatory Content.

While we maintain community guidelines and reporting mechanisms to help moderate inappropriate content, UORealms is not responsible for user-generated content that may be inappropriate for younger users, including users aged 13-18. By using our Site, Services, or Games, you acknowledge that you may encounter content that does not align with UORealms' policies or values.

Content Monitoring and Reporting

UORealms does not pre-screen content you or others may post to the Site, Services, or Games. However, UORealms reserves the right to monitor all content and remove any material it finds objectionable without notice. If you encounter content that violates our community guidelines, please use the reporting tools available to notify our team. We will review reported content and take appropriate action based on our moderation policies.

No Liability for User-Generated Content

While we encourage a safe and respectful environment, UORealms is not liable for any user-generated content you may encounter, including offensive, inappropriate, or adult material. You are responsible for evaluating the accuracy, integrity, and quality of the content you interact with on our platform.

Public Content

UORealms allows you to create web pages and games for public access. By submitting Public Content, you represent that you own the rights or have the authority to post it, and it does not infringe on the rights of any third party. You grant UORealms a perpetual, irrevocable, non-exclusive, sub-licensable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, display, and perform your Public Content across all media now known or later developed. You may remove your Public Content anytime while your account is active and in good standing. However, you cannot remove Public Content after this agreement is terminated. You and UORealms can amend this provision by a separate written agreement.

Third-Party Content

The Site, Services, and Games may contain materials owned by UORealms and its licensors. You agree not to interfere with their copyrights, trademarks, and other proprietary rights, which are valid in all media now known or later developed. Your use of such materials is subject to U.S. copyright laws and other applicable laws.

Content Monitoring

UORealms does not pre-screen content you or others may post to the Site, Services, or Games. However, UORealms reserves the right to monitor all content and remove any material it finds objectionable without notice. You are responsible for evaluating the accuracy, integrity, and quality of any content. UORealms is not liable for any errors, omissions, or losses arising from content posted on the Site, Services, or Games.

Content Transmission

You understand that the technical processing and transmission of the Services, including your Participatory Content and Public Content, may involve transmissions over various networks and changes to conform to technical requirements of connecting devices.

Links

The Site, Services, and Games may provide links to other sites for your convenience. UORealms does not control or endorse the materials on linked sites and is not responsible for any transmission from those sites. UORealms recommends reviewing the terms of use of any linked sites you choose to visit.

8. Idea Submission Policy

UORealms and its team members do not accept or consider unsolicited ideas, including but not limited to ideas for advertising campaigns, technology development, or product names. Please do not send UORealms or its employees any unsolicited materials, such as artwork or demos. If any area of the Site, Services, or Games invites you to submit material, that submission will not be deemed unsolicited for the purposes of this Idea Submission Policy. This policy exists to prevent misunderstandings or disputes if UORealms' products or marketing strategies are similar to ideas submitted by users.

9. Your Account is Your Responsibility

You are solely responsible for all activities conducted through your account and User ID, even if your account is compromised through no fault of your own. UORealms encourages you to maintain the confidentiality of your password and reminds you that you are not authorized to let others use your account.

10. Privacy

You understand that you have no expectation of privacy concerning your use of the Site, Services, or Games. All communications made by or received from you may be monitored, stored, and disclosed by UORealms representatives. UORealms may extract hardware system data and any information related to the operation of the software from any computer accessing the Site, Services, or Games through your account.

UORealms will cooperate fully with law enforcement authorities, reporting any illegal activity or conduct and providing any information necessary. Specifically, UORealms may disclose information about you or your content if UORealms has a good faith belief that such disclosure is necessary to:

• (a) comply with legal processes;
• (b) enforce the Terms;
• (c) respond to claims of rights violations by your Participatory or Public Content;
• (d) protect the rights, property, or safety of UORealms, its members, or the public.

These Terms are also subject to UORealms' full Privacy Policy (https://uorealms.com/realms/guides/privacy-policy/), incorporated by reference as if fully set out here.

11. SMS Communications

UORealms may send SMS notifications related to order inquiries, updates, and support communications if you opt-in during checkout. You can opt out of receiving SMS messages by following the opt-out instructions provided in the message. UORealms never sends marketing or unsolicited SMS messages and does not sell, lease, or share phone numbers with third parties unless required by law.

In the event of missed calls, UORealms may send a one-time SMS message to offer assistance. You may opt out of receiving further messages by replying with the STOP command as provided in the message.

11. Charges for Service

UORealms provides a mixture of free-to-play, subscription-based, "freemium," and merchandise (virtual and tangible) content through our Site, Services, and Games. By utilizing any service that incurs a cost, you acknowledge your agreement and responsibility for such charges. Such fees are payable as indicated by the selected service or services and are not refundable, in whole or in part, unless otherwise stated. YOU ARE FULLY LIABLE FOR ALL CHARGES UNDER YOUR ACCOUNT WHETHER OR NOT AUTHORIZED BY YOU.

If your use of the Site, Services, or Games is subject to any use, sales, or other taxes, or if UORealms offers additional services for a fee, then UORealms may bill you for such charges in addition to any other purchases. UORealms reserves the right to change its fees and billing methods at any time with thirty (30) days notice posted on the Site. You are responsible for regularly reviewing these Terms to obtain timely notice of such changes.

If any such change is unacceptable to you, you may terminate your account and this agreement as provided in Section 19 ("Termination"). Your continued use of the Games or Services seven (7) days after the changes are posted on the Site will constitute your acceptance of such change.

If you pay for the Games and/or Services by credit card, you represent and warrant that you are the authorized user of such credit card. Each month you use the Games and/or Services, you agree and reaffirm that UORealms is authorized to charge your credit card. You agree to promptly notify UORealms of any changes to your credit card account number, expiration date, and/or billing address, and you agree to promptly notify UORealms if your credit card expires or is canceled for any reason.

E-Commerce Terms of Sale

By purchasing any products or services from the UORealms online store "Adventurer's Supply," you agree to be bound by the full Terms of Sale. All sales are final unless otherwise specified, and UORealms reserves the right to amend its fees and pricing at any time.

13. International Use

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws governing the transmission of technical data exported from the United States or the country in which you reside.

14. Ownership

UORealms and its licensors retain all rights, titles, and interests in and to the Site, Services, and Games, except as provided by the licenses granted to you under these Terms.

15. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UOREALMS, ITS AFFILIATES, LICENSORS, AND SUBCONTRACTORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UORealms provides the Site, Services, and Games (including any related software or hardware) "AS IS" and "AS AVAILABLE" without any warranties of performance, quality, or that the Site, Services, or Games will be error-free or uninterrupted.

16. Limitation of Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY, UOREALMS, ITS AFFILIATES, LICENSORS, AND SUBCONTRACTORS' TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SITE, SERVICES, OR GAMES SHALL BE LIMITED TO THE TOTAL PAYMENTS MADE BY YOU TO UOREALMS IN THE TWELVE (12) MONTHS PRIOR TO THE INCIDENT THAT GAVE RISE TO SUCH LIABILITY.

17. Consequential Damages

IN NO EVENT WILL UOREALMS, ITS AFFILIATES, LICENSORS OR SUBCONTRACTORS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF USE OR COSTS OF SUBSTITUTE SERVICES, HOWEVER CAUSED.

18. Indemnification

You agree to defend, indemnify, and hold harmless UORealms, its affiliates, licensors, and subcontractors from all liabilities, claims, and expenses, including attorneys' fees, arising from or related to your breach of this Agreement.

19. Termination

Either you or UORealms may terminate your account and this agreement upon notice at any time without further obligation to the other. UORealms reserves the right to terminate your account or restrict your access to the Site, Services, and/or Games for any violation of these Terms, the posted Code of Conduct (https://uorealms.com/realms/guides/conduct/), or at our sole discretion, with or without notice, and without remedy to you. UORealms also reserves the right to terminate the Site, Services, and/or Games, or any portion thereof, at any time without notice or further obligation to you.

20. Amendment

UORealms may amend these Terms at its sole discretion at any time by posting revised Terms on the Site. You agree to regularly review the Terms. If any revision is unacceptable to you, you may terminate your account and this agreement as outlined in Section 18.

21. Reservation of Rights

UORealms reserves all rights not expressly granted herein.

22. General Provisions

Transferability of Rights:

You may not sub-license, rent, sell, assign, or otherwise transfer the rights or obligations granted to you under this agreement, and any such attempted transfer shall be void.

Severability:

If any provision of this agreement is found to be unenforceable for any reason, it shall be reformed only to the extent necessary to make it enforceable, without affecting the enforceability of the remaining provisions under all other circumstances.

Waiver:

UORealms' failure to enforce any provision of this agreement at any time shall not be construed as a waiver of that provision or any future rights.

Force Majeure:

No default, delay, or failure to perform by UORealms shall be considered a breach if such default, delay, or failure is due to causes beyond UORealms' reasonable control.

Governing Law:

This agreement is governed by and construed under New Mexico law, without regard to its conflict of law principles. Arbitration will be the sole method of resolving any disputes arising from or relating to these Terms or your use of UORealms.

Dispute Resolution through Arbitration:

Any dispute arising from or relating to these Terms or your use of UORealms will be resolved through binding arbitration, conducted by an arbitrator selected by UORealms. The party initiating arbitration shall bear the initial costs, with the final responsibility for arbitration costs determined by the arbitrator, or as required by law. Arbitration will take place at a location determined by UORealms.

Notices:

All notices given by you must be addressed to David Roberts, Registered Agent, 1209 MOUNTAIN ROAD PL NE., STE R, ALBUQUERQUE, NM 87110, ATTN: UORealms Legal, with receipt of confirmation. UORealms will provide notices via the email address listed in your Registration Data.

This agreement represents the entire agreement between you and UORealms with respect to the subject matter referenced herein.
